3. Client Responsibilities

To ensure timely project delivery, clients agree to:

  • Provide accurate information and project requirements.
  • Supply content, images, branding materials, and credentials when required.
  • Review and provide feedback within reasonable timeframes.
  • Ensure they have legal rights to any materials supplied to Iceking Labs.

Delays in providing required information may result in project delays.

4. Payments

Unless otherwise agreed in writing:

  • A deposit may be required before work begins.
  • Remaining balances must be paid according to the agreed payment schedule.
  • Final project files, website deployment, or ownership transfer may be withheld until full payment is received.
  • Late payments may result in project suspension or service interruption.

5. Ownership & Intellectual Property

Upon full payment:

  • The client owns all final deliverables specifically created for their project.
  • The client retains ownership of all content, trademarks, logos, and materials they provide.
  • Iceking Labs retains ownership of proprietary tools, frameworks, reusable code libraries, templates, and internal systems used during development.

Any third-party software, plugins, APIs, or licenses remain subject to their respective owners' terms and conditions.

6. SEO & Marketing Services

While Iceking Labs follows industry best practices to improve online visibility, search rankings and business exposure, we do not guarantee:

  • Specific search engine rankings.
  • A certain number of leads or sales.
  • Continuous placement in search results.

Search engine algorithms and platform policies are controlled by third parties and may change at any time.

7. Project Timelines

Estimated timelines are provided based on available information and client cooperation.

Iceking Labs is not responsible for delays caused by:

  • Late client feedback.
  • Missing content or approvals.
  • Third-party service providers.
  • Circumstances beyond reasonable control.

8. Website Hosting & Third-Party Services

Projects may rely on third-party services such as domain registrars, hosting providers, payment gateways, email providers, AI platforms, and external APIs.

Iceking Labs is not liable for outages, policy changes, pricing changes, or service interruptions caused by third-party providers.

9. Limitation of Liability

To the fullest extent permitted by law, Iceking Labs shall not be liable for:

  • Loss of revenue or profits.
  • Loss of business opportunities.
  • Data loss.
  • Indirect, incidental, or consequential damages.

Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.

10. Confidentiality

Any confidential information shared during a project will be treated as confidential and will not be disclosed to third parties except where required by law or necessary to complete the project.

11. Termination

Either party may terminate a project by providing written notice.

Upon termination:

  • The client shall pay for all completed work up to the termination date.
  • Any outstanding invoices become immediately due.
  • Iceking Labs may suspend further work until payments are settled.

12. Website Use

You agree not to:

  • Use our website for unlawful purposes.
  • Attempt unauthorized access to our systems.
  • Distribute malware or harmful code.
  • Copy or reproduce website content without permission.

13. Changes to These Terms

Iceking Labs reserves the right to update these Terms & Conditions at any time. Updated versions will be posted on this page and become effective immediately upon publication.

14. Governing Law
